1.LEAP LOCATOR OVERVIEW
1.1.The object of the Leap Locator is to share and describe the moment of "leap" - the moment you made a life changing decision.
1.2.In order to participate in the Leap Locator activity as described herein(the "Activity"), you must agree to these terms (the "Terms"). Therefore, please read these Terms prior to participating to guarantee that you understand and agree to these. You agree that submission of your description of your leap story constitutes agreement to these Terms. You may not participate in the Activity unless you agree to these Terms. These Terms form a binding legal agreement between you and SohoOS Ltd. ("Planet Soho") with respect to the Activity.
1.3.The Leap Locator is open to receive leap stories until otherwise decided by Planet Soho. Information on how to participate form part of these Terms. By submitting a story, each entrant agrees to the Terms and warrants that his or her story complies with all requirements set out in the Terms.
2.WHO MAY ENTER
2.1.The Leap Locator is open only to individuals who have reached the age of 21 at the time of entry and who do NOT reside in a jurisdiction, in which this type of activity is prohibited, or restricted in a manner not specified herein.
2.2.The Activity is subject to all applicable federal, state and local laws and regulations.
3.HOW TO PARTICIPATE
3.1.To submit a story into the Leap Locator you must satisfy the following requirements :
3.1.1.Visit http://theleap.campaigns.planetsoho.com
3.1.2.Input the requested details in the entry form including name, location and date of the "leap" and valid email address.
3.1.3.Input the description of your "Leap".
3.1.4.Publish the fully completed entry form by clicking the "Publish" Button.
3.1.5.Once you click the "Publish" button, the description of your "Leap" and the details you have been requested to provide (other than your email) will appear on the "Globe" page of the Activity.
3.1.6.Clicking the "Publish" button means you approve the publishing of your story and your details (other than email) on the Contest website.
3.1.7.In order to inspire others with your "Leap" story, click the “Share” button.
3.1.8.After clicking the "Share" button, click the "Allow" button. By clicking the "Allow" button you acknowledge and confirm that some details from facebook are received by Planet Soho and are published in the Leap Locator site, such as: your Facebook picture, your Facebook name and a link to your Facebook profile.
3.2.If you want to remove your story please send an email to: [email protected].
3.3.Additional measures of removing and/or editing your entry may be forwarded to you as Planet Soho shall deem fit.
3.4.You may not upload any file, image, video and alike to the Leap Locator site, via the entry form or otherwise.
3.5.The entries will remain on the Leap Locator web page and/or any other page on Planet Soho's website for such period of time as shall be decided by Planet Soho.
3.6.The entry form must not violate the rights of any other person or company by using their trademarks, copyrights logos, names or images, or feature any recognizable person;
4.Entry Forms
4.1.The entry form must NOT contain, content and description that:
4.1.1.is sexually explicit, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic;
4.1.2.promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing) or a particular political agenda;
4.1.3.is obscene or offensive;
4.1.4.defames, misrepresents or contains disparaging remarks about other people or companies;
4.1.5.contains trademarks, logos, or trade dress (such as distinctive packaging or building exteriors/interiors) owned by others;
4.1.6.contains copyrighted materials owned by others;
4.1.7.communicates messages inconsistent with the positive images and/or good will to which we wish to associate; and/or violates any law;
4.1.8.contains any material that is infringing, obscene, threatening, offensive, libelous, or otherwise unlawful or tortious, including material that is harmful to children or violates third party privacy rights;
4.1.9.contains any non-public or personally-identifiable data regarding an individual's financial or economic identity, sexual orientation, religious beliefs, medical or physical identity, including any information comprised of either "Protected Health Information" subject to and defined by the Health Insurance Portability and Accountability Act, or a third party's first name and last name, or first initial and last name, in combination with any one or more of the following data elements that relate to such individual: Social Security number, driver's license number or state-issued identification card number, financial account number, or credit or debit card number, with or without any required security code, access code, personal identification number or password, that would permit access to a resident's financial account;
4.1.10.contains, as determined by us, in our sole and absolute discretion, any content that does not comply with these Terms. We reserve the right to reject any story, in our sole and absolute discretion, that we determine does not meet the above criteria.
4.2.You may not send, store, publish, post, upload or otherwise transmit any viruses, Trojan horses, worms, time bombs, corrupted files or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any systems, data, personal information or property of another.
4.3.You may not (i) attempt to gain unauthorized access to the Leap Locator site via any means with which the Leap Locator is activated or managed; or (ii) use any data mining, robots or similar data gathering or extraction methods.
4.4.Planet Soho reserves the right to verify the validity and originality of any story and/or entrant (including an entrant's identity and address) and to disqualify any entrant who submits a story that is not in accordance with these Terms or who tampers with the entry process. Failure by Planet Soho to enforce any of its rights at any stage does not constitute a waiver of those rights.
5.RELEASES
5.1.The story must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity. If the story contains any material or elements that are not owned by the entrant, and/or which are subject to the rights of third parties, the entrant is responsible for obtaining, prior to submission of the story, any and all releases and consents necessary to permit the use and exhibition of your "Leap" story by Planet Soho in the manner set forth in these Terms, including, without limitation, name and likeness permissions from any person who appears in or is identifiable in the story.
5.2.Upon Planet Soho request, each entrant must be prepared to provide (within ten (10) calendar days of receipt of Planet Soho request) a signed release, authorizing Planet Soho and its subsidiaries, shareholders and licensees ("Authorized Parties") to reproduce, distribute, display, and create derivative works of the story in connection with the Leap Locator and other promotional activities of Planet Soho, in any media now or hereafter known. All releases must be in the form provided by Planet Soho or satisfactory to Planet Soho. For the avoidance of doubt, the failure to receive such release from an entrant, shall not diminish any of Planet Soho's rights under these Terms, and specifically under section 6 below.
5.3.For the purposes of these Terms, the entrant will be deemed to be in receipt of Planet Soho request or notification within 24 hours from delivery of such request by email.
6.LICENSE
6.1.By participating in the Activity, each and all entrants grant an irrevocable, perpetual, royalty- free, worldwide non-exclusive license to the Authorized Parties, to reproduce, distribute, display and create derivative works of the stories (or any part thereof) in connection with the Leap Locator activity and other promotional activities of Planet Soho, in any media now or hereafter known, including, but not limited to publication on www.Planet Soho.com or via any other media. Entrant's consent to Planet Soho doing or omitting to do any act that would otherwise infringe the entrants' moral rights in their entries. Authorized Parties will not be required to pay any additional consideration or seek any additional approval in connection with such use. Additionally, by entering, each entrant grants to Authorized Parties the unrestricted right to use all statements made in connection with the Activity at their sole discretion. Authorized Parties will not be required to pay any additional consideration or seek any additional approval in connection with such use.
7.LIMITATION OF LIABILITY
7.1.By participating in the Activity, each and all entrants agree to release, discharge, and hold harmless Planet Soho and its partners, affiliates, subsidiaries, advertising agencies, agents and their employees, officers, directors, and representatives (the "Released Parties"), from any claims, losses, and damages arising out of their participation in the Activity, including, without limitation, a third party's claim or demand relating to such entrant's story.
7.2.Subject to any applicable law, Planet Soho assumes no responsibility for any error, omission, interruption, deletion, defect, or delay in operation or transmission; communications line failure; theft or destruction of or unauthorized access to the Activity entries or entry forms; or alteration of entries or entry forms. Planet Soho is not responsible for any failure of the Facebook website during the Activity. Nor is it responsible for any problems or technical malfunctions of computer online systems, servers, access providers, computer equipment, software or any e-mail, online or internet entry lost due to technical problems or traffic congestion on the internet or at any website or any combination thereof, including any injury or damage to an entrant's or any other person's computer or property related to or resulting from playing.
7.3.Planet Soho is not responsible for late, lost, damaged, mutilated, illegible, stolen, incomplete, or misdirected entries or for address or email address changes of entrants. Proof of sending will not be deemed to be proof of receipt by Planet Soho. Entries become the property of Planet Soho and will not be returned.
8.DATA PRIVACY
8.1.Each and all entrants agree that personal information, especially name and address, may be processed, shared, and otherwise used for the purposes and within the context of the activity and any other purposes outlined in these Terms or in Planet Soho' Terms and Conditions located at http://www.planetsoho.com/about-us/terms-of-service/. The information may also be used by Planet Soho in order to verify the entrant's identity, postal address, and telephone number or to otherwise verify the entrant's eligibility to participate in the Activity.
8.2.Any individual (or other duly authorized person) may elect to exclude the name and address of that individual from all lists used by Planet Soho to mail skill contests or sweepstakes. Electing to have an individual's name excluded from all such lists, can be done by sending an email to [email protected] and requesting to be removed from such lists.
8.3.The Activity is in no way sponsored, endorsed or administered by, or associated with, Facebook. You understand that you are providing your information to Planet Soho.
